Putnam Smith concentrates on business and commercial real estate transactions and tax and estate planning.  He has represented developers and private equity investors in connection with commercial shopping centers and retail space, office and industrial buildings, mixed-use facilities and recreational facilities, including golf course developments and timberland investments.  Putnam has a background in general corporate and tax matters gained while associated with leading Atlanta law firms, and brings to bear significant experience in planning, structuring and executing business acquisitions and combinations, including sales of both closely-held and publicly-traded businesses, tax-free mergers and reorganizations, tax-deferred like-kind exchanges, stock acquisitions, asset  purchases, leveraged buyouts and joint ventures.  Recent transactions include private equity investments in shopping centers in several Southeastern states, raw land assemblages requiring services ranging from quiet title actions to road closures, and a $100 million buyout to resolve a shareholders’ dispute involving a closely-held technology business.
